8. Payment Terms
8.1 Payment for services shall be made in accordance with the terms agreed upon in the relevant service agreement.
8.2 All payments must be made in the currency specified in the invoice.
8.3 In the event of late payment, Capnis.com reserves the right to charge interest on the overdue amount at the rate of 1.5% per month.
9. Termination
9.1 Either party may terminate this Agreement by providing written notice to the other party.
9.2 Upon termination, all licenses granted under this Agreement will immediately terminate.
9.3 Termination does not affect any rights or obligations that accrued before the termination.
10. Dispute Resolution
10.1 Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties.
11. Limitation of Liability
11.1 To the maximum extent permitted by applicable law, Capnis.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services.
12. Warranties and Disclaimers
12.1 Capnis.com provides the services "as is" and without any warranty or condition, express, implied, or statutory.
12.2 Capnis.com specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.
13. Indemnification
13.1 You agree to indemnify, defend, and hold harmless Capnis.com and its affiliates, officers, agents, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the services or your violation of these terms.
14. Governing Law
14.1 This Agreement shall be governed by and construed in accordance with the laws of Tamilnadu / India, without regard to its conflict of law principles.
14.2 Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Tamilnadu / India, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
15. Miscellaneous
15.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Capnis.com regarding the use of the services.
15.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
15.3 Waiver: The failure of either party to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
15.4 Assignment: You may not assign or transfer your rights or obligations under this Agreement without prior written consent from Capnis.com.
